In these terms and conditions, the following definitions apply:
Klikonline: Klikonline B.V., based in the Netherlands.
Customer: The natural person or legal entity that uses the VPS Cloud services.
Services: The VPS Cloud services provided by Klikonline.
Post-Pay: A billing model in which actual usage is billed retrospectively.
Billing period: Standard one (1) calendar month, unless otherwise agreed.
Agreement: The agreement between Klikonline and the Customer with regard to the Services.
These Post-Pay Terms and Conditions apply exclusively to VPS Cloud services provided on a post-pay basis.
They supplement the general terms and conditions of Klikonline. In the event of any conflict, these Post-Pay terms and conditions shall prevail.
Post-pay is not an automatic right and is granted solely at the discretion of Klikonline.
Klikonline may, among other things, require:
Registration with the Chamber of Commerce
Credit check
Minimal customer or usage history
A fixed credit limit
Klikonline reserves the right to withdraw post-pay at any time.
The Customer is fully responsible for:
Resource consumption (CPU, RAM, storage, network traffic)
All activities that take place on or via the VPS
Compliance with laws and regulations
VPS security (updates, firewall, passwords)
Klikonline is not liable for data loss, misconfigurations, or security incidents caused by the Customer.
Consumption is measured per billing period.
Invoices are issued retrospectively.
Invoices are sent digitally.
All amounts are exclusive of VAT, unless otherwise stated.
Klikonline reserves the right to change rates with prior notice.
Payment term: 14 days after invoice date, unless otherwise agreed in writing.
Payment must be made without discount or set-off.
If the payment term is exceeded, Klikonline may:
Charging statutory interest
Passing on collection costs
Suspending services (partially or completely)
Klikonline can set a credit limit for post-pay customers.
If this limit is exceeded, the following may occur:
The service will be automatically suspended
Further resource allocation will be blocked
Unusual, excessive, or improper use may be considered abuse.
Klikonline is entitled to suspend or terminate the Services with immediate effect if:
Failure to meet payment obligations
There is evidence of misuse or illegal activities
The stability or security of systems or other customers is compromised
Incorrect or misleading information has been provided
Termination or suspension does not release the Customer from outstanding payment obligations.
Klikonline strives for high availability of the Services, but does not guarantee uninterrupted availability unless a separate SLA has been agreed in writing.
Scheduled maintenance can take place without liability for downtime.
To the extent permitted by law:
Is Klikonline's liability limited to the invoice amount of the previous billing period?
Klikonline is not liable for indirect damage, including loss of data, turnover, or business continuity.
Klikonline processes personal data in accordance with applicable privacy legislation (GDPR) and its Privacy Policy.
The Customer remains the controller of the data stored on the VPS at all times.
Klikonline reserves the right to change these terms and conditions.
Changes will be communicated in advance and will take effect on the specified date.
Continued use of the Services constitutes acceptance of the amended terms and conditions.
These terms and conditions are governed by Dutch law.
Any disputes shall be submitted to the competent court in the Netherlands.
